Liability. The liability of Waterloo for any failure of the Licensed Software (as defined in Section 9.2) to perform as warranted is limited to either the cash payment for the amount of the failure or, if the Customer is unable to pay, the Customer being provided with a replacement license for another 30 days or until the Customer’s License period expires, whichever occurs first.

Late Fees. In the event that Customer fails to pay the license fee or the software license extension fee, or fails to respond to any notification sent by Waterloo, then Waterloo may charge and Customer shall pay a late fee on the first of the month after the 30 days period has expired. The late fee shall be $50 per month or a minimum of $100 per year, unless the Customer’s license has expired or is otherwise terminated in accordance with Section 9.3.

9.1 Waterloo warrants to Customer that during the warranty period set forth in Section 9.2, the Software supplied to Customer will perform in all material respects as described in the Documentation that Customer receives in or with the software. Waterloo does not provide any warranty for software that has not been properly licensed. If a warranty claim is made pursuant to Section 9.3, Waterloo will ship a replacement license for the Software to Customer for the licensed period that is less than or equal to the original licensed period or for the remainder of the original license period, whichever is less. Waterloo will permit the Customer to use the Software for the remainder of the original license period at no additional cost.

Each software copy supplied shall be accompanied by all applicable information necessary for the operation of the Software: A physical copy of a printed manual shall be included if the software is licensed by end user; A computer programming language, such as C, C++, or Java, shall be included if the software is licensed by agent.
9.7If the software contains any security features which require cooperation from a License Holder, the Customer shall not modify or remove such security features or any of the software components that constitute such security features. To gain the rights set forth in this Section 9.7, the Customer must comply with the security measures and restrictions set forth in the Documentation.
8.6 Any defaults in the license for the Software shall not render the license void, including but not limited to defaults of the Customer, or its authorized users, to activate the license, to pay sales tax, or to pay other fees.
8.7 Any Software modifications, upgrades, new products, new services, third-party products, or supporting services, to be used in connection with the Software, are made at the Customer’s sole discretion. The Customer shall perform such modifications and upgrades pursuant to the instructions provided by the Software. Any such modifications shall be used solely in conjunction with the Software and cannot be used without prior written approval from Waterloo. Customer shall be solely responsible for ensuring that any such modifications are in conformance with the Documentation and order in which the Software was delivered. Customers failure to comply with these conditions will result in cancellation of the license and any use of the Software shall be null and void, in addition to any other remedies available at law or equity.
