12.1 you acknowledge and agree that any actual or threatened suit or proceeding against seagull scientific and/or its affiliates may result in a lien on your license to use the software product. you agree to satisfy any judgment of any such suit or proceeding in seagull scientifics sole discretion.

12.2 you acknowledge and agree that seagull scientifics rights hereunder are freely assignable, that seagull scientific may delegate its rights and obligations under this agreement to any third party, and that seagull scientific may enter into agreements with other companies that are related to, connected with or that support seagull scientific in providing the software product.

12.4 you agree that your use of the software product shall be at your sole risk and responsibility, and that your use thereof is entirely at your discretion and on your own initiative. you agree to indemnify, defend, and hold harmless seagull scientific, its directors, officers, employees, agents and affiliates from and against any and all claims, losses, damages, actions, suits or proceedings of any kind, including but not limited to: (i) any claim, suit or action arising out of or in connection with your use of the software product or this agreement; (ii) any claim, suit or action arising out of or in connection with your breach of the license terms, or (iii) your failure to comply with any applicable law, rule or regulation. the foregoing indemnification obligation shall survive the expiration or termination of this agreement.

12.5 you acknowledge that seagull scientific does not guarantee that the software product will be interoperable or will operate with other software products of third parties, or that it will operate with other software products of seagull scientific or third parties.

10.7.1 to the extent not prohibited by applicable law, each party shall be responsible for all costs and expenses associated with the provision of the software product, including without limitation: (i) cost of shipping media used in the provision of the software product; (ii) cost of providing technical support; (iii) cost of providing other goods and services for which the provision of the software product is required; (iv) cost of any upgrades or enhancements to the software product provided to you by seagull scientific; and (v) all such other costs and expenses as seagull scientific may recover from you for the provision of the software product.
12.2 notice. if seagull scientific gives notice to you of a claimed breach by you of this agreement, you will have a reasonable opportunity to cure such claimed breach and will be entitled to cure the breach if it is capable of cure. if you do not cure the breach within 30 days of receiving notice, then seagull scientific shall have the right to terminate this agreement. in addition, if seagull scientific claims that a breach of this agreement by you has occurred, you will be deemed to have received notice of such claim on the date seagull scientific first published such claim in the documentation and/or the applicable license certificate and you will be required to cure such claim within 30 days of such date.
13.1 in the case of a dispute between the parties regarding any alleged breach of the terms of this agreement, seagull scientific may (at its sole discretion) refer the dispute to binding, non-appealable arbitration under the arbitration procedure below.
